Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Preppo AI (“Preppo”, the “Service”).

Preppo is operated by Creati Pty Ltd ACN 697 537 947, trading as Preppo AI (“Preppo”, “we”, “us” or “our”), an Australian company based in Sydney, New South Wales.

Please read these Terms carefully before creating an account or using Preppo.

By creating a Preppo account, purchasing a subscription or using the Service, you agree to these Terms.

1. About Preppo

Preppo is an AI powered educational service designed to help students learn.

Preppo may provide features including:

• explanations of educational concepts
• guided problem solving
• homework support
• practice questions and activities
• feedback on student answers
• test and exam preparation
• personalised learning support
• image and document analysis
• voice-based questions
• learning profiles and personalised memory
• parent or guardian learning viewsAnd access through supported third-party platforms.

Available features may vary depending on subscription plan, student profile, subject, location, device and product availability.

Preppo is designed to support learning rather than replace tutors, teachers, parents, guardians or a student's own thinking.

2. Parent and guardian accounts

A Preppo account must be created and managed by a parent, legal guardian or other authorised adult who is at least 18 years old.

Children may use student profiles associated with an adult's Preppo account but may not independently:

• create an adult Preppo account;
• purchase a subscription;
• provide payment information; or
• enter into these Terms.

By creating a student profile for a child, you confirm that:

• you are at least 18 years old;
• you are the child's parent, legal guardian or otherwise authorised to permit the child's use of Preppo;
• you consent to the child's use of Preppo subject to these Terms; and
• you have reviewed our Privacy Policy and the information we provide about children's privacy.

You are responsible for managing access to your Preppo account and associated student profiles.

3. Student profiles

A parent or guardian may create one or more student profiles, subject to the limits of their Preppo plan.

A student profile may contain information such as:

• profile name;
• school year or learning level;
• subjects being studied;
• learning goals;
• areas where the student needs additional help;
• learning preferences;
• previous learning activity; and
• other information used to personalise the student's experience.

Student profiles are not independent contractual accounts.

The parent or guardian who controls the Preppo account remains responsible for the account and associated student profiles.

4. Parent and guardian visibility

Preppo is designed as a family learning service.

Parents and guardians managing an account may be able to view information relating to associated student profiles, depending on the features available.

This may include information such as:

• subjects and topics studied;
• learning activity;
• areas of strength or difficulty;
• session summaries;
• learning progress;
• conversation history; and
• other information about use of Preppo.

Students should understand that their activity on Preppo may therefore be visible to the parent or guardian responsible for their profile.

5. AI-generated content

Preppo uses artificial intelligence.

Artificial intelligence can make mistakes.

Responses generated by Preppo may sometimes be:

• inaccurate
• incomplete
• outdated
• inappropriate
• misleading
• or unsuitable for a particular student's circumstances.

Preppo does not guarantee that every AI-generated response will be correct.

Students should check important information against trusted educational sources and seek help from a teacher, parent, carer or other appropriate person where necessary.

Preppo may modify, restrict or replace the AI models and technology used to provide the Service as the technology develops.

6. Learning, not simply answers

Preppo is designed to help students understand how to solve problems rather than simply complete work for them.

Preppo may therefore:

• ask a student questions
• provide hints
• break a problem into smaller steps
• ask a student to show their working
• encourage a student to try again
• or delay providing a final answer.

This is an intentional part of the learning experience.

We do not guarantee any particular academic outcome, grade, examination result or improvement from using Preppo.

7. Academic integrity

Preppo should be used to support genuine learning.

You must not knowingly use Preppo to:

• cheat in an examination or assessment
• impersonate another student
• circumvent school assessment requirements
• submit AI-generated work as a student's own where doing so is prohibited
• falsify academic work or results
• or breach applicable school, university or assessment rules.

Students remain responsible for complying with the academic integrity and AI-use requirements of their school or educational institution.

Where appropriate, Preppo may refuse to provide direct answers or instead provide educational guidance.

8. Appropriate use

You and students using your account must use Preppo lawfully and responsibly.

You must not use, or allow another person to use, Preppo to:

• engage in unlawful activity
• harass, threaten, exploit or harm another person
• generate or distribute illegal content
• attempt to obtain sexual or otherwise inappropriate content involving children
• deliberately circumvent safety systems
• interfere with the operation or security of Preppo
• introduce malware or malicious code
• attempt to gain unauthorised access to accounts, systems or data
• scrape, crawl or systematically extract information from Preppo without permission
• reverse engineer the Service except where permitted by law
• use automated systems to abuse usage limits
• infringe another person's intellectual property or privacy rights
• share account credentials with unauthorised people
• or use Preppo in a way that could reasonably harm students, other users or the Service.

We may restrict or refuse requests that we reasonably believe are unsafe, unlawful, inappropriate or inconsistent with Preppo's educational purpose.

9. Student safety

Preppo uses safeguards intended to keep interactions appropriate for students and focused on learning.

These safeguards may include content-safety systems, AI instructions, usage restrictions and mechanisms that redirect or decline certain conversations.

No automated safety system is perfect.

We cannot guarantee that Preppo will never generate inaccurate, unexpected or inappropriate material.

If a student receives a response that is concerning or inappropriate, the student should stop the conversation and tell a parent, carer, teacher or another trusted adult. Parents and guardians can also report the response to Preppo.

10. Preppo is not an emergency or professional advice service

Preppo is an educational service.

It is not a substitute for a:

• parent or guardian
• Teacher or tutor
• counsellor or psychologist
• doctor or other healthcare professional
• lawyer
• financial adviser
• or emergency service.

Preppo should not be relied upon for medical, mental-health, legal, financial, emergency or other professional advice.

If a child is in immediate danger or requires urgent assistance, users should contact an appropriate trusted adult or emergency service rather than relying on Preppo.

11. Free and paid plans

Preppo may offer Free, Starter, Pro or other subscription plans.

The features, usage limits, prices and availability associated with each plan are shown on our Pricing page.

Features and limits may include:

• daily message allowances
• number of student profiles
• conversation-history periods
• personalised memory
• image or voice functionality
• exam preparation
• parent features
• WhatsApp access
• and other functionality.

We may also offer beta access, trials, promotional pricing or other temporary offers.

The terms of an offer will be displayed when you join or purchase it.

12. Paid subscriptions and automatic renewal

Paid subscriptions may automatically renew at the end of each billing period until cancelled.

Before you purchase a recurring subscription, we will tell you:

• the price;
• whether GST is included;
• the billing frequency;
• whether the subscription automatically renews;
• when payment will be taken; and
• how you can cancel.

By purchasing a recurring subscription, you authorise us or our payment provider to charge your nominated payment method in accordance with the subscription terms shown to you at purchase.

A free account will not become a paid subscription merely because you have used Preppo during a free beta or promotional period. You must agree to the applicable paid subscription arrangement and provide or authorise an appropriate payment method before we charge you.

13. Cancelling a subscription

You may cancel a paid subscription in accordance with our Subscription & Refunds Policy.

We do not charge a cancellation fee.

Unless otherwise stated or required by law, cancellation normally takes effect at the end of the current paid billing period.

Cancelling a subscription does not automatically delete your Preppo account or associated student information.

Requests concerning deletion of personal information are handled in accordance with our Privacy Policy.

14. Refunds and consumer rights

Refunds are handled in accordance with our Subscription & Refunds Policy and applicable law.

Nothing in these Terms limits any right or remedy you have under the Australian Consumer Law or another law that cannot legally be excluded, restricted or modified.

15. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law.

For major failures with the service, you are entitled:

• to cancel your service contract with us
• and to a refund for the unused portion, or to compensation for its reduced value.

You are also entitled to be compensated for any other reasonably foreseeable loss or damage.

If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

These rights apply in addition to any rights or remedies we voluntarily provide under our Subscription & Refunds Policy.

16. Your content

Students and account holders may submit content to Preppo, including:

• messages and questions
• answers
• homework questions
• photographs
• images
• documents
• voice recordings
• and other educational material.

We refer to this as User Content.

You retain ownership of any intellectual property rights you have in your User Content.

You grant Preppo a limited, non-exclusive, worldwide licence to host, copy, transmit, process and use User Content only as reasonably necessary to:

• provide the Service;
• process the student's request;
• personalise the learning experience;
• maintain and secure Preppo;
• comply with legal obligations; and
• use information for other purposes described in our Privacy Policy and Data & AI Policy.

This licence ends when the relevant content is deleted from our systems, except where information must reasonably be retained for legal, security, backup or other permitted purposes.

Our use of student information, including any use involving artificial intelligence, is also governed by our Privacy Policy and Data & AI Policy.

17. Content belonging to other people

You must only upload or submit material that you are permitted to use.

We recognise that students may submit limited portions of worksheets, textbook questions and other educational materials for legitimate learning purposes.

You must not use Preppo to systematically reproduce, distribute or commercially exploit copyrighted material belonging to another person.

18. Preppo's intellectual property

Preppo and its associated software, designs, branding, interfaces, content and technology are owned by or licensed to Creati Pty Ltd and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable right to use Preppo for personal and educational purposes.

You do not acquire ownership of Preppo or its underlying software or technology.

“Preppo” and associated branding may not be used in a way that suggests sponsorship, endorsement or affiliation without our permission.

19. Privacy and children's information

Privacy is particularly important because Preppo is designed for children and families.

Our Privacy Policy explains:

• what personal information we collect
• why we collect it
• how it is used
• which service providers may process it
• overseas processing and disclosure
• retention
• security
• and rights relating to personal information.

Our Privacy for Students notice explains important privacy information in simpler language for students.

Our Data & AI Policy explains how artificial intelligence interacts with student information, including personalisation and the role of third-party AI providers.

20. Third-party technology and services

Preppo relies on third-party technology providers to operate the Service.

These may include providers of:

• artificial intelligence models
• cloud infrastructure
• databases
• authentication
• security
• analytics
• communications
• payment processing
• email
• voice or speech processing
• and other technical services.

Information may be processed by these providers where reasonably necessary to provide Preppo, subject to our Privacy Policy and applicable law.

21. Third-party platforms

Some Preppo features may be available through third-party platforms such as WhatsApp.

When you choose to use Preppo through a third-party platform, that platform may independently collect and process information under its own privacy policy and terms.

Preppo does not control the independent practices of third-party platforms.

Parents and guardians should consider the relevant third-party terms and privacy practices before allowing a child to use Preppo through those services.

22. Service availability

We aim to provide a reliable service, but we do not guarantee that Preppo will always be available or uninterrupted.

Preppo may occasionally be unavailable because of:

• maintenance
• software updates
• technical failures
• third-party provider outages
• security incidents
• internet or telecommunications problems
• or circumstances outside our reasonable control.

Where reasonably practicable, we will try to minimise disruption.

If a significant service failure affects a paid subscription, we will provide any remedy required under the Australian Consumer Law or other applicable law.

23. Changes to Preppo

Preppo is an evolving service.

We may reasonably add, remove, modify or replace features as we improve the Service, respond to safety or legal requirements, address technical issues or adapt to changes in technology.

We will not rely on this section to avoid our obligations under the Australian Consumer Law.

If we make a change that materially reduces the core paid service you purchased during a prepaid subscription period, we will provide reasonable notice where practicable and any cancellation right, refund, credit or other remedy required by law.

24. Suspending or restricting access

We may temporarily restrict or suspend an account or student profile where we reasonably believe this is necessary to:

• protect a child or another person
• investigate a safety concern
• address a security threat
• prevent fraud or unlawful activity
• respond to serious or repeated misuse
• protect Preppo or other users
• address non-payment
• or comply with a legal obligation.

Where appropriate and reasonably practicable, we will explain the reason for the restriction or suspension to the account holder.

25. Terminating accounts

You may stop using Preppo at any time.

We may terminate an account where:

• there has been a serious or repeated breach of these Terms
• the Service has been used unlawfully
• there has been serious misuse of safety or security systems
• continued use creates an unreasonable safety or security risk
• payment remains outstanding for a paid service
• or we are required to do so by law.

Where a breach can reasonably be corrected, we may provide the account holder with an opportunity to address it before termination.

We may also discontinue Preppo or a material part of the Service for legitimate business, technical or legal reasons.

If we terminate a paid subscription for reasons unrelated to your breach of these Terms, we will provide any refund, credit or other remedy for the unused prepaid period required by applicable law.

26. Account security

You are responsible for taking reasonable steps to keep your account credentials secure.

You should:

• use a secure password
• not share adult account credentials with unauthorised people
• promptly tell us if you believe your account has been compromised
• and keep account information reasonably current.

Please contact us promptly if you become aware of unauthorised access to your Preppo account.

27. Liability

Nothing in these Terms excludes, restricts or modifies any guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified, including rights under the Australian Consumer Law.

To the extent permitted by law, Preppo is not responsible for losses caused solely by:

• use of Preppo in breach of these Terms
• reliance on AI-generated information after an obvious error or appropriate warning
• unauthorised access resulting from an account holder's failure to take reasonable steps to protect account credentials
• or third-party services outside Preppo's reasonable control.

Any exclusion or limitation in these Terms applies only to the extent permitted by law.

28. Changes to these Terms

We may update these Terms as Preppo, our technology or applicable laws change.

For minor or administrative changes, we may update the Terms by publishing the revised version and changing the “Last updated” date.

If we make a material change that significantly affects your rights or obligations, we will provide reasonable advance notice, such as by email or through Preppo.

Where applicable law requires your consent to a change, we will seek that consent.

Changes will not retrospectively remove rights you have already accrued.

30. Governing law

These Terms are governed by the laws of New South Wales, Australia, and applicable Commonwealth laws of Australia.

You and Preppo submit to the courts having jurisdiction in New South Wales, subject to any rights you may have under applicable consumer law to bring proceedings elsewhere.

31. Resolving concerns

If you have a concern about Preppo, please contact us first so we have an opportunity to resolve it.

Contacting us does not limit any legal right or remedy available to you.

For privacy-related concerns, please follow the complaints process described in our Privacy Policy.
